1. Agreement to Terms

By accessing or using Nexor's AI document analysis platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a legally binding agreement between you ("User", "Customer", or "you") and Vihaan Innovations (trading as "Nexor") ("Company", "we", "us", or "our"). Nexor is a brand name used by Vihaan Innovations for the Service. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Nexor is software that automates document analysis. The Service processes documents using AI models to extract and analyze information. Outputs are informational only and do not constitute legal, financial, tax, compliance, or professional advice. The Service includes:

  • Automated document extraction and analysis
  • Information extraction from documents
  • API access for integration with third-party systems
  • Team collaboration features
  • Analytics and reporting tools

Important: Users are responsible for reviewing all outputs and making their own decisions. Nexor does not guarantee the accuracy, completeness, or suitability of any outputs for any particular purpose.

The Service is fully software-based and does not include human-driven document review, manual analysis, or consulting services as part of standard subscriptions.

3. User Accounts

3.1 Account Creation

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys.

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any security breach.

3.3 Security Practices

We implement security measures to protect your data. You are responsible for:

  • Maintaining strong, unique passwords
  • Enabling multi-factor authentication when available
  • Not sharing account credentials with unauthorized parties
  • Keeping your account information up to date

4. Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission
  • Reproduce, duplicate, or copy the Service without authorization
  • Resell or redistribute the Service

5. Intellectual Property Rights

The Service and its original content, features, functionality, and technology are owned by Nexor and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: You retain all ownership rights to documents, data, and content you upload to the Service ("Customer Data"). By uploading content, you grant us a limited, non-exclusive, worldwide license to use, process, store, and analyze that content solely for the purpose of providing, maintaining, and improving the Service.

Service Improvements: We may use aggregated, anonymized data derived from your use of the Service to improve our algorithms, develop new features, and enhance service quality. This aggregated data will not identify you or your organization.

6. Data Processing and Security

6.1 Data Processing

We process your data solely for the purpose of providing the Service. We take reasonable measures to protect your data, including encryption of data in transit and at rest, access controls, and regular security reviews. Our security practices may evolve as the product matures.

6.2 Data Breach Notification

In the event of a security breach affecting your data, we will notify you as soon as reasonably possible after becoming aware of the breach. We will provide information about the nature of the breach and steps we are taking to address it.

6.3 Data Location

Your data is processed and stored in secure data centers. We may transfer data internationally as necessary to provide the Service, in accordance with applicable laws.

7. Payment Terms

7.1 Merchant of Record

Paddle.com is the Merchant of Record for all payments. Paddle handles all payment transactions, including credit card processing, invoicing, and tax collection. By making a payment, you agree to Paddle's Terms of Service and Privacy Policy. Nexor does not process, store, or have access to your payment card data.

7.2 Subscription Plans

We offer various subscription plans with different features and usage limits. Prices and features are subject to change with at least 30 days' notice.

7.3 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis. Billing, charges, and any refunds are managed by Paddle as Merchant of Record, in accordance with Paddle's Terms & Conditions, Refund Policy, and applicable law.

Acceptance of Terms: By completing payment, you confirm that you have read, understood, and agree to be bound by these Terms of Service.

7.4 Refund & Cancellation

Refunds: Paddle.com is the Merchant of Record for all payments. All refunds are handled and issued solely by Paddle in accordance with Paddle's Terms & Conditions, Refund Policy, and applicable law.

Any refund requests or questions about charges should be directed to Paddle support. We do not offer any separate or additional refund policy beyond what is provided by Paddle as Merchant of Record.

7.5 Cancellation and Data Export

You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period. Upon cancellation, you may export your data for up to 30 days. After this period, data will be deleted in accordance with our data retention policy, unless retention is required by law.

Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled. You can disable auto-renewal at any time through your account settings.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee that the Service will be uninterrupted, secure, or error-free. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

9. Third-Party Services

We use third-party service providers to deliver the Service, including cloud infrastructure providers, payment processors, and analytics services. These providers are contractually obligated to protect your data and use it only for specified purposes.

10. Limitation of Liability

Software Only: Nexor provides software for automated document analysis. The Service processes documents and generates outputs for informational purposes only. Nexor does not provide legal, financial, tax, compliance, or professional advice.

User Responsibility: Users are solely responsible for reviewing all outputs, verifying information, and making decisions based on the Service outputs. Users acknowledge that outputs may contain errors or inaccuracies and should not rely solely on the Service for critical decisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $10,000, whichever is greater.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

12. Indemnification

You agree to indemnify and hold harmless Nexor and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your infringement of any third-party rights
  • Content or data you upload to the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting support.

13.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice, for:

  • Violation of these Terms or our Acceptable Use Policy
  • Non-payment of fees (after notice and cure period)
  • Conduct that we believe is harmful to other users, us, or third parties
  • Legal or regulatory requirements

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will provide a reasonable period (typically 30 days) for you to export your data. After this period, we may delete your data in accordance with our data retention policy.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising from or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service at least 30 days in advance. Material changes include modifications to pricing, service features, or data processing practices.

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

16. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nexor regarding the Service and supersede all prior agreements and understandings.
